1. GENERAL INFORMATION AND COMPANY DETAILS
These General Terms and Conditions of Purchase (hereinafter, the “General Terms”) govern access to, use of, and all commercial transactions carried out through the website www.finenipona.com (hereinafter, the “Website”, “Online Store” or “Platform”), owned and operated by FINE NIPONA S.L.
In compliance with Article 10 of Spanish Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSICE), the following identifying information is provided:

FINE NIPONA S.L. is a company specialising in the importation, distribution and sale of certified organic food products from Japan, including matcha tea, mulberry tea and other related products.
2. PURPOSE OF THE CONTRACT AND ACCEPTANCE
These General Terms govern the contractual relationship arising from online purchases between FINE NIPONA S.L. and any natural or legal person who places an order through the Website (hereinafter, the “Customer”).
Placing an order constitutes express, full and unreserved acceptance of:

• The Legal Notice
• The Cookie Policy
These terms shall remain permanently available on the Website for review prior to placing any order.
FINE NIPONA S.L. reserves the right to amend or update these General Terms at any time. The version in force at the time an order is placed shall apply. Material changes will be communicated to registered Customers via the email address they have provided.
3. LEGAL CAPACITY AND USER OBLIGATIONS
By placing an order through the Website, the Customer declares and warrants that they:
• Are at least 18 years of age
• Have sufficient legal capacity to enter into binding contracts
• Are acting on their own behalf or hold valid authorisation from the holder of the data and payment methods used
The Customer undertakes to:
• Use the Website solely for legitimate enquiries or orders
• Not place false, fraudulent or speculative orders
• Provide truthful, accurate and complete information at all times
Where there are reasonable grounds to suspect fraud or misuse, FINE NIPONA S.L. reserves the right to cancel the order, block the user account and take any legal action it deems appropriate.
Intended use of products
The products sold on the Website are intended exclusively for personal food consumption. Resale, redistribution or any commercial use without prior written consent from FINE NIPONA S.L. is strictly prohibited.
4. PRODUCT DESCRIPTIONS
The key characteristics of each product (ingredients, origin, weight, format, storage instructions, nutritional information and other relevant details) are set out in the corresponding product listing on the Website.
FINE NIPONA S.L. makes every reasonable effort to ensure that the information displayed is accurate and up to date. However, product images are for illustrative purposes only and may differ slightly from the actual product in terms of colour, packaging design or presentation.
5. NATURE OF THE PRODUCTS
The products sold by FINE NIPONA S.L. are natural food products of certified organic origin.
Due to this nature, batch-to-batch variations may occur in colour, aroma, flavour and texture. Such natural variations are inherent to high-quality organic products and do not constitute defects or a lack of conformity, provided the essential characteristics of the product remain unchanged.
6. ORGANIC CERTIFICATION
FINE NIPONA S.L. is a registered operator with the Consell Balear de la Producció Agrària Ecològica (CBPAE), operator number 2182E, control authority code ES-ECO-013-IB, in accordance with Regulation (EU) 2018/848 of the European Parliament and of the Council on organic production and labelling of organic products.
All products sold comply with the requirements of the aforementioned Regulation for marketing as organic products within the European Union, including traceability, labelling and control obligations.
The organic certificate of FINE NIPONA S.L. is publicly available in the official directory of the European Commission (TRACES NT) and on the CBPAE website (www.cbpae.org).
7. NUTRITIONAL INFORMATION AND HEALTH NOTICES
Matcha tea naturally contains caffeine. Individuals sensitive to caffeine, pregnant or breastfeeding women, and minors should consult a healthcare professional before consumption.
Any information regarding antioxidant, energising or wellness-related properties that may appear on the Website or on product labelling is provided for informational purposes only and is based on published research into the product’s components.
The products sold do not constitute medical advice and are not intended to diagnose, treat, cure or prevent any disease. Consumption of these products is not a substitute for the advice of a qualified healthcare professional.
The Customer is responsible for reviewing the ingredient list and allergen information for each product prior to consumption, particularly if they suffer from food allergies or intolerances.
8. FOOD SAFETY AND REGULATORY COMPLIANCE
The products sold by FINE NIPONA S.L. comply with all applicable food safety legislation within the European Union, including but not limited to:
• Regulation (EC) 178/2002 laying down the general principles and requirements of food law
• Regulation (EU) 1169/2011 on the provision of food information to consumers
• Regulation (EU) 2018/848 on organic production and labelling of organic products
• Regulation (EU) 2017/625 on official controls and import activities for food products from third countries
Products imported from Japan comply with all sanitary, phytosanitary, traceability and labelling requirements for importation into and sale within the European Union, having passed the corresponding official controls at border inspection posts.
FINE NIPONA S.L. is registered with the Spanish General Register of Food Businesses (RGSEAA) under numbers 40.089348/IB and 26.024145/IB.
9. PRICES AND TAXES
All prices shown on the Website are quoted in Euros (€). For orders placed from mainland Spain and the Balearic Islands, prices include the applicable Value Added Tax (VAT).
Shipping costs are not included in the product price and will be shown separately before the checkout process is completed.
FINE NIPONA S.L. reserves the right to amend prices at any time. Orders already confirmed will be honoured at the price in effect at the time of purchase.
10. PRICING ERRORS
In the event of an obvious typographical or technical error in the price of a product, FINE NIPONA S.L. reserves the right to cancel the affected order and issue a full refund of the amount paid. Under no circumstances shall FINE NIPONA S.L. be obliged to supply the product at the incorrect price.
11. CUSTOMS AND IMPORT DUTIES
Shipments to territories with special tax regimes (such as the Canary Islands, Ceuta or Melilla) or outside the European Union may be subject to customs duties, import charges and local taxes.
These additional costs are not included in the product price or shipping charges and shall be borne entirely by the Customer. FINE NIPONA S.L. has no control over such charges and cannot predict their amount.
12. ORDERING PROCESS
The ordering process consists of the following steps:

3. Select shipping method
4. Select payment method
5. Review order
6. Accept the General Terms and Privacy Policy
7. Confirm and pay
The purchase contract shall be deemed concluded when the Customer receives an order confirmation email from FINE NIPONA S.L. This email serves as the proof of purchase.
13. PAYMENT METHODS
The Website uses SSL (Secure Socket Layer) security protocols and the Shopify Payments secure payment gateway to protect data throughout the payment process.
Available payment methods include:
• Credit or debit card (Visa, Mastercard, American Express)
• Apple Pay
• Google Pay
• Bizum
FINE NIPONA S.L. does not store complete card details. All transaction processing is handled entirely by Shopify Payments and the relevant financial institutions in accordance with PCI DSS (Payment Card Industry Data Security Standard) requirements.
14. LOGISTICS AND SUPPLY CHAIN
FINE NIPONA S.L. operates as an importer and retailer of food products sourced from Japan.
Products are manufactured and packaged by the producer at origin in compliance with all applicable regulations, and shipped directly to a logistics centre in Spain.
FINE NIPONA S.L. does not carry out physical handling, warehousing or order fulfilment operations at its own premises.
These logistics activities are performed by specialised logistics operators acting in compliance with all applicable food safety, storage and distribution regulations.

FINE NIPONA S.L. retains at all times its status as the importer and operator responsible for the marketing of the products, ensuring compliance with all applicable food legislation within the European Union.
15. DELIVERY TIMES
The estimated delivery time for standard shipments within mainland Spain and the Balearic Islands is approximately 3 working days from the date the order leaves the logistics centre.
Orders placed after 1:00 p.m. (CET), on weekends or on public holidays will be processed on the next working day.
Delivery times are estimates and may be affected by external logistics circumstances beyond the control of FINE NIPONA S.L. In any event, the maximum delivery period shall not exceed 30 calendar days from order confirmation, in accordance with Royal Legislative Decree 1/2007.
16. PRODUCT AVAILABILITY
All orders are subject to stock availability. If, following order confirmation, a product is no longer available, FINE NIPONA S.L. will notify the Customer within 48 hours and offer the following alternatives:
• Wait for the product to be restocked (with an estimated timeframe)
• Replace the product with one of similar characteristics and price, subject to the Customer’s consent
• Cancel the order with a full refund of the amount paid
17. RIGHT OF WITHDRAWAL
In accordance with Articles 102 et seq. of Royal Legislative Decree 1/2007, of 16 November, approving the revised text of the General Consumer and User Protection Act, the Customer has the right to withdraw from the contract within 14 calendar days without giving any reason.
The withdrawal period shall expire 14 calendar days from the day on which the Customer, or a third party designated by the Customer other than the carrier, takes physical possession of the goods.
To exercise the right of withdrawal, the Customer must notify their decision by means of a clear written statement sent to hola@finenipona.com, including their name, address, order number and an unambiguous statement of their intention to withdraw from the contract.
Exceptions to the right of withdrawal:
Pursuant to Article 103 of Royal Legislative Decree 1/2007, the right of withdrawal shall not apply to:
• Sealed goods which are not suitable for return due to health protection or hygiene reasons and which have been unsealed after delivery
• Goods which are liable to deteriorate or expire rapidly
As the products sold by FINE NIPONA S.L. are food products, the right of withdrawal shall only apply where the product is returned unopened, with the original seal intact and in perfect storage condition.
Effects of withdrawal:
In the event of a valid withdrawal, FINE NIPONA S.L. shall reimburse all payments received from the Customer, including the initial shipping costs (except any supplementary costs arising from the Customer’s choice of a delivery method other than the least expensive standard option offered), without undue delay and in any event within 14 calendar days from the date of receipt of the withdrawal notice.
Reimbursement shall be made using the same payment method used for the original transaction, unless the Customer has expressly agreed otherwise. The direct cost of returning the product shall be borne by the Customer.
18. RETURNS AND LEGAL GUARANTEE OF CONFORMITY
Independently of the right of withdrawal, the Customer is entitled to the legal guarantee of conformity in accordance with Articles 114 et seq. of Royal Legislative Decree 1/2007.
If the product received is defective or non-conforming (wrong product, damaged, expired or not matching its description), the Customer should notify hola@finenipona.com as soon as possible, providing photographs of both the product and its packaging.
Where a lack of conformity is established, FINE NIPONA S.L. shall offer the Customer, at their choice:
• A replacement product at no additional cost
• A full refund of the amount paid, including shipping costs
19. SHIPPING INCIDENTS
The Customer should inspect the condition of the package at the time of delivery. If visible damage to the outer packaging is detected, it is strongly recommended that this be noted on the carrier’s delivery receipt before signing.
Any incidents related to shipping (damaged packages, broken or spilled product) must be reported to hola@finenipona.com within 48 hours of delivery, together with photographs of the outer packaging and the affected product.
20. INTELLECTUAL AND INDUSTRIAL PROPERTY
All content on the Website, including but not limited to text, photographs, images, graphics, designs, logos, trademarks, trade names, source code and any other protectable elements, is the property of FINE NIPONA S.L. or of third parties who have authorised its use, and is protected under applicable intellectual and industrial property laws.
The reproduction, distribution, public communication, transformation or any other form of exploitation, in whole or in part, of the content of the Website without the prior written consent of FINE NIPONA S.L. is expressly prohibited.
21. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, FINE NIPONA S.L. shall not be liable for:
• Improper use of products or consumption contrary to the usage recommendations stated on the labelling
• Adverse reactions arising from food allergies or intolerances not disclosed or not verified by the Customer
• Incorrect storage of the product by the Customer after delivery
• Losses arising from interruptions, viruses or failures on the Website due to causes beyond the control of FINE NIPONA S.L.
This limitation shall apply without prejudice to the Customer’s mandatory statutory rights under applicable consumer protection legislation, in particular Royal Legislative Decree 1/2007.
22. FORCE MAJEURE
FINE NIPONA S.L. shall not be liable for delays or non-performance arising from circumstances beyond its reasonable control, including but not limited to: natural disasters, strikes, pandemics, logistics disruptions, customs restrictions, telecommunications failures, acts of public authorities or any other cause of force majeure as recognised under applicable law.
In the event that force majeure prevents fulfilment of an order, FINE NIPONA S.L. shall notify the Customer and offer the option of either maintaining the order or cancelling it with a full refund.
23. PERSONAL DATA PROTECTION
The processing of the Customer’s personal data is governed by the Privacy Policy published on the Website, in compliance with Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR) and Spanish Organic Law 3/2018, of 5 December, on the Protection of Personal Data and the Guarantee of Digital Rights (LOPDGDD).

24. ALTERNATIVE DISPUTE RESOLUTION
In the event of a dispute or complaint relating to an order placed through the Website, the Customer may in the first instance contact FINE NIPONA S.L. at hola@finenipona.com with a view to reaching an amicable resolution.
The Customer may also refer the matter to the competent consumer protection bodies in their region or to the Consumer Arbitration Boards, in accordance with applicable consumer protection legislation.
Pursuant to Directive 2013/11/EU on alternative dispute resolution for consumer disputes, FINE NIPONA S.L. informs the Customer that they may have recourse to accredited alternative dispute resolution (ADR) entities in Spain for the out-of-court resolution of any dispute arising from contracts concluded online.
25. COMMUNICATIONS
All communications between FINE NIPONA S.L. and the Customer shall preferably be conducted by email at hola@finenipona.com.
Notices sent by FINE NIPONA S.L. to the email address provided by the Customer during the ordering process shall be deemed validly made.
26. SEVERABILITY
If any provision of these General Terms is held to be null or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by one which, being valid, most closely reflects the original intention of the parties.
27. GOVERNING LAW AND JURISDICTION
These General Terms shall be governed by and construed in accordance with Spanish law.
In the event of any dispute arising from the interpretation or performance of these General Terms, where the Customer is a consumer, both parties shall submit to the courts and tribunals of the Customer’s domicile, in accordance with applicable consumer protection legislation.
Where the Customer is acting in the capacity of a business or professional, both parties shall submit to the courts and tribunals of Palma de Mallorca, expressly waiving any other jurisdiction that may apply.
